Terms of Service
1. The service
Auditus.ai (operated by The Upcapital Inc., Ontario, Canada) is a pre-audit readiness platform for public-company audits. We do not perform statutory audits; we accelerate their preparation.
2. Eligibility + account
You must be authorized to bind your organization. Keep your credentials confidential. You are responsible for activity under your account.
3. Acceptable use
- No infringement, malicious code, or attempts to break tenant isolation.
- Upload only data you have rights to process.
- Do not use the platform to replace the judgment of a licensed CPA.
4. AI features — no guarantee
AI-generated findings, explanations, and report language are decision-support tools, not professional opinions. Always have a licensed professional review before relying on them in regulatory filings.
5. Subscriptions + fees
Fees, taxes, and cycles are set at checkout. Cancellation takes effect at the end of the current billing period. Refunds are at our discretion and are not guaranteed.
6. Termination
Either party may terminate for material breach uncured after 30 days' notice. On termination you can export your data within 30 days (/account → Export) before deletion.
7. Disclaimer + liability
Service is provided as-is. To the maximum extent allowed by law, our aggregate liability is capped at the fees paid in the 12 months preceding the claim. We are not liable for indirect or consequential damages.
8. Governing law
These terms are governed by the laws of Ontario, Canada. Disputes are subject to the exclusive jurisdiction of the Ontario courts.
